Changes to SER By-Laws

Following our recent SER Board Meeting in Kennesaw, GA, the Board of Directors unanimously approved a proposal to make changes to our By-Laws, specifically to Article VII which deals with Elections and Terms of Office of the Board of Directors. 
 
At present the 2-year election cycle and term limits on the Vice President, Treasurer and Secretary positions as well as the President, who at present has no term limit, means that all these positions come up for election at the same time. Should there be no candidates for these positions, the slate could be “wiped clean”, creating a vacuum as far as continuity and intellectual memory is concerned. To avoid this possibility, the BOD unanimously approved a change that would effectively stagger elections for two of these officers so that, effective in 2018 (even-number years) there would be elections for the Vice-President and Secretary and in 2019 (odd-numbered years) the President and Treasurer.
 
Effectively, this change would place a term limit on the President for 2 two-year terms, except in the first year (2018) where the President and Treasurer would be give a one-time 1-year extension to their terms to affect the staggered election in the following year. 
 
The BOD also approved the change to the term of the four Directors from two terms of 4-years to two terms of 2-years with the same 1-year extension of the terms of two directors in 2018 to accomplish the staggered elections moving forward. 
 
The affected bylaw article is Article VII, Section 3 -Terms of Office of our current SER bylaws, which can be found on the SER website.  The new wording is shown below.

For those without email, a separate post-paid card, pre-addressed and labeled with your name and NMRA number, is enclosed to make it easy to cast your vote and drop in the mail.  We need 2/3 of those voting to vote “yes” to approve the changes.
 
Let me also add that these proposed By-Law changes have the full support of the SER board. I hope you will do your part and vote before December 15, 2017.  Together we can move our region forward.

ARTICLE VII
ELECTIONS AND TERMS OF OFFICE
 
3. Terms of Office
 
a. The President, Vice President, Secretary and Treasurer (Officers) and Directors shall be elected to serve for two (2) years, or until replaced by a duly elected successor. An elected Officer or Director shall not hold more than two consecutive terms in the same office. Terms shall be staggered as follows:
 
i. Beginning in even-numbered years:
  • Vice President
  • Secretary
  • Two at-large Directors
ii. Beginning in odd-numbered years:
  • President
  • Treasurer
  • Two at-large Directors
b. The Executive Advisor shall serve until there is a new President elected and, consequently, a new Executive Adviser (Past President).
 
c. No person shall be elected to the same office or as a director for more than two successive full terms. Nothing in this section shall prevent the election for up to full terms of a person who has been elected to serve the unexpired term of his/her predecessor.
